Waiver of Liability and Terms of Agreement PinholeBox, LLC, (hereinafter referred to as the "Company") rents its facility, equipment and materials as agreed, to you, the customer(s) (hereinafter referred to as the "Renter") with the express understanding that in no event shall the Company or any of the Company's employees or agents be held liable for direct, indirect, incidental or consequential damage or injury due to the use of said facility or equipment and materials, or any equipment or materials within the facility. The Company is hereby held harmless from any incidents or accidents which may occur to or by persons either renting or associated with the renting of the Company's facilities. Renters are highly recommended to acquire "shoot insurance" since the Company is relieved of all responsibility for unforeseen circumstances or disaster (i.e. fire, mechanical building breakdowns, etc.); rental fees, less expenses, will be fully refunded at the discretion of the Company. LENGTH OF USE Hourly rental periods are 60 minutes, with 45 minutes studio use and 15 minutes clean-up time. Rental time begins promptly at the designated starting time and ends promptly at the designated ending time, regardless of time of actual start of usage. Studio cleanup must be complete by the end of the rental period. Use beyond scheduled time will incur a double rate billed in 15 minute increments. EQUIPMENT The Company agrees to provide lighting equipment in good working order, but makes no guarantees as to said equipment's functionality or suitability to Renter's purposes. The Renter assumes full responsibility for all rented equipment and will pay the replacement value should equipment be lost, stolen or damaged during the period of rental. There will be no phone supplied for use, neither long-distance nor local. Renters are advised to bring a cell phone if external communication is required. Requests for new or unusual props are to be received no less than one week before scheduled rental. The Company does not guarantee the availability or quality of any prop and is free to assess whatever fees it may take to acquire said prop, if necessary. The Renter will not be held responsible for what would be considered "wear and tear" items. The Company reserves the right to determine what would be considered "wear and tear" when evaluating damage or the Renter's liability. The company is not responsible for any damage or harm to equipment, machinery or items brought by the renter or brought for the renter's use, whether it was acquired by the company or acquired by the company through a third-party for the retnter's use. PAYMENT AND RESERVATIONS Payment is due in full upon completion of shoot and inspection by a Company employee, staff or agent. Inspections are cursory and not comprehensive. Cursory inspections will be performed immediately after a shoot is completed, but will not be considered final until a pre-appointment inspection is performed, which is considered comprehensive, and the studio is verified in good working condition for the next appointment. Renter is to provide a deposit of 25% of the rate for reservation. Deposit is required at time reservation, or within 24 hours if PayPal is used. The reservation may be cancelled at the Company's discretion if the deposit is not made within 24 hours. The Company reserves the right to refuse reservations at its sole discretion. If the Company must cancel a Renter's reservation for any reason unrelated to the Renter, his shoot or preparations for the shoot, Renter will be given rescheduling priority or a refund of the deposit at the discretion of the Company. Any usage of "Staff Assistance" will be billed at the rate stated in the "Rates" sheet. This rate will be charged at the discretion of the Company. It is the Renter's responsibility to request and confirm staff assistance, insure the arrival of any materials needed and inform the Company of issues or information regarding their pending shoot day. CANCELLATION AND REFUNDS All deposits are non-refundable, however, the company may extend the deposit to a re-scheduled date if the cancellation is in a timely manner. 2 weeks prior to scheduled date: Deposit can be forwarded to the re-scheduled date. 1 week prior to scheduled date: A new deposit will be required, but the prior deposit will be applied to the final bill. Under 1 week to scheduled date: A new deposit will be required, prior deposit will not be applied to the final bill. If the date is rescheduled more than once, only one previous deposit counts as a credit. RESPONSIBILITIES All lights and equipment are to be turned off at end of shoot, or if the equipment will not be in use for a time greater than 30 minutes. Renter will leave studio clean and orderly with props replaced and all lights, sound and any other equipment turned off. All items brought by Renter are to be removed by Renter. Items left after 7 days will be assumed abandoned and may be discarded or kept by the Company for Company use, with no compensation due the renter, at the discretion of the Company. Disposal of large amounts of garbage will incur additional costs, to be determined by size and amount of garbage. The Company will charge the clean-up fee as set forth in the "Rates" sheet for returning the studio to an operational condition, at the Company's discretion. SECURITY AND SAFETY The Company retains the right to verify the identity and age of any and all clients of the Renter and to end any shoot a Company employee, staff or agent deems as unsafe, illegal or questionable, with no refund or compensation promised to the Renter, at the Company's discretion. Unless otherwise advised previous to any shoot, the Renter verifies that their client(s) are over the age of 18. The Renter also agrees to abide by all Virginia anti-porn statutes. The Company retains the right to stop a shoot in process in order to acquire said identification and verification, without compensation or allowance made to the Renter. The Company will be maintaining surveillance equipment as a security measure. However, at the request of the photographer and model, surveillance of the shoot area may be minimized to allow for privacy. Both the model and the photographer must agree to reduce surveillance and state such on a separate contract. LIFE OF WAIVER This waiver and contract will be considered on-going and in-force for the life of the business relationship between Renter and the Company. This waiver and contract will be considered renewed and agreed to in full, upon a Renter's subsequent studio reservation confirmation. Any modifications to terms of this agreement will only be made in writing and signed by both parties.
